Effective date: September 11, 2026. This agreement is between Sisu Logistic, LLC (DBA Sisu IO), operating as ClimbSuite ("we"), and you as an affiliate promoting the SaaS platform ("you"). It applies when you are accepted into the ClimbSuite affiliate program.
1. Enrollment and approval
Enrollment requires an application and our written acceptance. We may decline or revoke acceptance at our discretion. You must be at least 18 years old and legally able to enter into this agreement in your jurisdiction, and must provide accurate tax and payment details.
2. Commission
Commission rate, qualifying events, cookie/attribution window, and the payout schedule are set at the time you are accepted into the program and are stated in your affiliate dashboard. Commission is earned only on a completed, paid, non-refunded transaction. Refunded, charged-back, fraudulent, or self-referred purchases are reversed.
3. Payment
Payouts are made to the payment method on your affiliate profile, subject to a minimum payout threshold of $50 and any tax withholding or documentation required by law. You are an independent contractor, not an employee, agent, partner, or joint venturer of Sisu Logistic, LLC (DBA Sisu IO), and you are responsible for your own taxes.
4. Prohibited promotion
You may not:
- send spam or unsolicited messages, or promote in violation of anti-spam law;
- bid on our trademarks or run ads that impersonate ClimbSuite or Sisu Logistic, LLC (DBA Sisu IO);
- use cookie stuffing, forced clicks, typo-squatting, or any deceptive attribution;
- misrepresent the SaaS platform, its price, or its results — including any promise of a
specific outcome, income, or result (see the Earnings / Results Disclaimer);
- offer unauthorized coupons, rebates, or discounts;
- promote alongside content that violates the Acceptable Use Policy or the
5. FTC disclosure duty
You must clearly and conspicuously disclose your material connection to ClimbSuite wherever you promote it, per the U.S. FTC Endorsement Guides (16 CFR Part 255) and any equivalent rules in your market. The disclosure must be up front, in the same medium as the promotion, and understandable to an ordinary reader.
6. Brand-specific terms
Commission on a subscription to the SaaS platform is earned on paid billing periods only and stops when the customer cancels or their account is refunded. You may not resell, sublicense, or present the platform as your own product under this agreement — white-label resale is a separate written arrangement.
7. Trademarks and content
We grant you a limited, revocable, non-exclusive, non-transferable licence to use the ClimbSuite names and marks we supply, solely to promote the SaaS platform while this agreement is in force. All goodwill runs to Sisu Logistic, LLC (DBA Sisu IO). You may not modify our marks or register anything confusingly similar.
8. Termination
Either party may terminate at any time on written notice. On termination you must stop using our marks and remove affiliate links. Commission on transactions completed before termination remains payable unless terminated for fraud or breach.
9. Disclaimers and liability
The program is provided "as is". To the maximum extent permitted by law, our aggregate liability under this agreement is limited to the total commission paid to you in the twelve (12) months preceding the claim.
Changes to this policy
Sisu Logistic, LLC (DBA Sisu IO) may update this policy. The current version is always the one published in the ClimbSuite Legal Center, with its effective date shown above. Material changes will be announced by posting the updated policy in the ClimbSuite Legal Center with a new effective date, and, where required by law, by emailing account holders in advance.
Governing law
Governed by the laws of the State of Florida, USA, without regard to conflict-of-laws rules. Any dispute arising out of or relating to this policy will be brought exclusively in the state and federal courts located in the State of Florida, and you consent to personal jurisdiction and venue there.
